i thought the n64 output 44.1khz audio, does that mean the 48khz output would be resampled? is there a setting to change this?

Of course, all that stuff will be parameterizable, you can adjust the scanline depth, serration etc. Or disable them completely of course :)

Clarity depends on the native resolution of the display you'll be using. For example I will be using it on a TV with a native resolution of 1080, which means there will be added blur due to the scaling of the 480 signal. This is the nature of pixel-based displays unfortunately. I think this could be...

Does the HDMI board add any input delay? At the moment this is the only thing stopping me from playing my N64 on a non-CRT TV.
